  • The date of the funds transfer to Seller’s bank account is considered to be the date of payment.

5 Delivery & Acceptance of Goods

Name and description of Goods, price per item, quantity and total amount relevant to a specific delivery are stated in Seller’s Order Confirmation and the Invoice. Costs of the boxes and packaging material are included in the price of the Goods.

Seller will make reasonable efforts to observe the dates for delivery or other performance under this Agreement, but Seller shall not be liable for any delay in delivery or failure to perform due to acceptance of prior orders, strike, lockout, riot, war, fire, acts of God, accident, delays caused by any subcontractor or supplier or by Buyer, technical difficulties, failure or breakdown of machinery or components necessary for order completion, inability to obtain or substantial rises in the price of labour or materials or manufacturing facilities, curtailment of or failure to obtain sufficient electrical or other energy supplies, or compliance with any law, regulation, order or direction, whether valid or invalid, of any governmental authority or instrumentality thereof, or due to any circumstances or any causes beyond its reasonable control, whether similar or dissimilar to the foregoing and whether or not foreseen. As used herein, “performance” shall include, without limitation, fabrication, shipment, delivery, assembly, installation, testing and warranty repair and replacement, as applicable. “Reasonable efforts” shall mean efforts that a reasonable person in Party’s position would use to achieve a certain goal as expeditiously as possible, provided that such Party’s actions would not cause Party, directly or indirectly, individually or in the aggregate, to incur additional unexpected (under normal business circumstances) expenses, or to suffer any other detriment, out of reasonable proportion to Party’s benefits under this Agreement.

The date of the transfer of Goods to Buyer (consignee, carrier) at the point of destination according to the terms of delivery shall be deemed the date of delivery of Goods.

Seller shall ensure delivery of Goods packed in appropriate packaging in order to prevent all possible damage in transportation and keeping.

6) Warranty

Warranty is valid for 2 years from the date of purchase and covers all Goods delivered by Seller subject to Buyer’s compliance with the warranty conditions set forth below;

These expanded warranty obligations shall be fulfilled in the form of repairs of defective components or replacement of defective components with identical or equal-value replacement Goods following Seller’s decision. The replacement will be sent from Lighting Technologies after successful investigation completed on defective product & approved by Seller in writing. At Seller’s discretion, the defective Goods will be taken back against replacement of new product with in warranty period.

7) Trademark, Copyright and Restriction

Platform is controlled and operated by Lighting Technologies India Pvt. Ltd. (the Seller) all material on Platform, including images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights. You must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and you must not assist any other person to do so. Lighting Technologies India Pvt. Ltd. at its own discretion delete/hide the reviews or comments.

8) Reviews, comments, communications and other content

Users of this website may post reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam.” In the event a user uses a false e-mail address, impersonates any person or entity, or otherwise misleads as to the origin of any content. 9) Shut-Down of Site

We have the sole right to shut down the Web Site or any part(s) thereof for any reason at any time without notice or consent. We will have no responsibility or liability for failure to store or delete any Content and/or User Content submitted to the Web Site.

10) Indemnity and Release

You shall indemnify and hold harmless Lighting Technologies India Private Limited, its affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these Conditions of Use or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.

You hereby expressly release Lighting Technologies India Private Limited and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

11) Dispute Resolution and Jurisdiction

11.1 All disputes, differences or claims which may arise out of or in connection with this Agreement will be settled by means of negotiation between the Parties. If the Parties fail to come to an agreement, such dispute, shall be referred to and resolved by arbitration as per the Indian Arbitration & Conciliation Act, 1996. The arbitration panel shall consist of three arbitrators, one to be appointed by each Party and the third arbitrator shall be appointed by the two appointed arbitrators. The third arbitrator shall serve as a chairman. The award of the arbitral tribunal shall be final and binding on both Parties. The place of arbitration shall be Bangalore, India. The proceedings shall be conducted in English language.

11.2 This Agreement shall be governed by and construed in accordance with Indian laws courts of Bangalore, Karnataka have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement. Governing law and Jurisdiction.
